Nooreed.com Terms of Use

  • If you are under the age of 13, you may not create a Nooreed account. You're welcome to watch the videos and enjoy the site, but you need to be at least 13 to create an account on nooreed.com. Minors under the age of 18 are not allowed to create a paid account and transact on this website without the consent of their parents or guardians.
  • Anyone 13 and over can join Nooreed by providing basic contact information (first and last name, email address - read our Privacy Policy for more details). Once registered, please feel free to set up a profile and join the community in rating and commenting on videos, participating in conversations or contributing videos.
  • You are encouraged to view as many videos as you wish for free, and to share what you learn with others both online and offline.
  • By inviting you to participate in videos comments and conversations, we are seeking to build a mature online community centered around ideas that matter. Please be aware, when participating, that we will remove:
    • content written in text speak, all-caps, or otherwise lazy grammar
    • content promoting pseudo-science, conspiracy theories, zealotry, proselytizing, self-promotion, product-hawking, and new-age fluff
    • content posted by members using joke names or non-names
    • disrespectful, distasteful, unconstructive, or illegal content
  • If you act disrespectfully, disruptively or illegally on Nooreed, we reserve the right to terminate your membership, at any time, and without prior warning.
  • Any dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of Lebanon.
  • If you make a payment for our services on our website, the details you are asked to submit will be provided directly to our payment provider via a secured connection.
  • The cardholder must retain a copy of transaction records and Merchant policies and rules.
  • We accept payments online using Visa and MasterCard credit/debit card in USD and LBP.

Community Guidelines

We value our community for the deep participation that occurs within the comment section of each video — a commenting culture that encourages robust, thoughtful observations, feelings and insights. 

Although we don’t like doing it, occasionally comments must be removed for the overall health of the Nooreed community. To help you avoid the frustrations of comment removal, here are some reasons your comment may have been removed:

  • Not appropriate for the Nooreed audience: pseudoscience, zealotry, personal requests, proselytizing and self-promotion are not acceptable and will be removed.
  • Inappropriate language: chat-room banter, text-speak and combatively postured comments are not appropriate. Calls to violence are never acceptable.
  • Response to an inappropriate comment: Please use the Flag button instead.
  • Terms of Use violation: We will remove any comment that violates the Nooreed Terms of Use.
  • Monopolizing the conversation: Excessively posting the same comment or link across multiple videos or in response to multiple comments will result in the removal of all comments containing the duplicated material.
  • Stereotyping: Sweeping generalizations of any group or individual based on race, gender, religion, sexual orientation, or age will be removed, as will comparisons to Nazis.
  • Honesty: Don’t post false information, rumors, or hearsay. If you don’t know it to be true, please don’t say it.
  • Harassing or attacking the Nooreed team will result in the removal of your Nooreed account.

Our moderators are human so mistakes may happen. Please respond to the removal email you received if you feel your comment may have been removed in error.

Nooreed Videos Usage Policy

At Nooreed, our goal is to help students to learn about different careers. Each Nooreed Video is an interview with a professional and covers questions such as what college they went to, what are the pros/cons of the job, etc. Please note that that the opinions of the professionals do not necessarily represent the opinion of Nooreed nor the Company they work for.

Nooreed videos are made available on YouTube.com under YouTube's standard policy, not Creative Commons.

We encourage the Nooreed community, non-profit organizations, bloggers, news media and the like to share Nooreed Videos through social media and to embed individual videos in contextually relevant ways on non-commercial websites using embed code on Nooreed.com. Non-commercial usage of Nooreed Videos should follow the terms of our specific Creative Commons license – Non Commercial – Non Derivative and the guidelines that are listed below, which may be updated from time to time.

Nooreed Creative Commons license

We make Nooreed Videos available under the Creative Commons license "Attribution - NonCommercial - NonDerivative" in order to allow non-commercial entities (like bloggers, educators and groups of friends) to use them freely and easily. Nooreed’s Creative Commons BY-NC-ND license allows you to display Nooreed Videos under the following conditions:

  • Attribution (BY): You must explicitly reference Nooreed as the original source of the materials, and NOOREED's logos within the videos and visuals as well as those of the Nooreed Videos sponsors remain untouched and unedited.

  • Attribution: You must add a visible link back to Nooreed.com
  • Running videos in their entirety: You may not edit Nooreed Videos, or alter them in any way. This is essential for preserving the integrity of the speaker's ideas.

You can project Nooreed Videos to a group of people, as long as you comply with the terms of the Creative Commons license outlined above. For projecting Nooreed Videos, we recommend downloading the high-def video podcast rather than projecting the streaming file from the web. In fact, we encourage you to find creative ways to share Nooreed Videos with your friends, family, students, colleagues, and communities.

 means the monies paid by each Student through the Site to allow him or her to access the Services

c)    'Content'

 means any text, images, video, audio or other multimedia content, software or other information or material submitted to or on the Site;

d)    'Intellectual Property’

 All intellectual property rights whether registered or not including without limitation all copyright, domain rights, design rights, database rights, trademarks, trade secrets, patents and patentable processes)

e)    'Lesson’ or “Virtual Session’

 means the period during which the expert provides Services to the client;

f)      'Services’

 means the services or information provided by us through the Site, but NOT the content, for which each expert alone is individually responsible

g)    'Service Fee’

 means that portion of the Credit payable to us for providing the Services;

h)    ‘Student’, ‘Client’ or ‘Learner’

 means any person (to include their parent, if applicable) using the Site for the purpose of availing of the expert Services;

i)      'Expert’

 means any person using this Site for the purpose of providing Services;

j)      'Expert Services’

 means the services provided by each Expert to each Student through the Site;

k)    'Expert Services Fee’

 means the fee payable by the Student for the Lesson, calculated on the basis of the Expert’s hourly rate;

l)      'Unwanted Submission’

 has the meaning given to it in clause 7.1;

m)  'You or your'

 means the person accessing or using the Site or its Content

3.    Using the Site

  1. The Site is for your personal and non-commercial use only.
  2. You agree that you are solely responsible for:
    all costs and expenses you may incur in relation to your use of the Site; and
    b. keeping your password and other account details confidential.
  3. In the case where you have attained the age of majority and are legally capable of understanding and accepting the Terms, the Terms are binding on you personally. Where the student is under the age of majority he/she may use the website but only with the consent and permission of the named parent, in which case that parent accepts all responsibility for the Student’s use of the website and the expression “You” and “Student” shall apply to the named parent or guardian in place of the Student as party to the Terms for all purposes.
  4. The named parent specifically warrants and undertakes that he/she has taken all measures necessary, in accordance with laws prevailing in the jurisdiction where the Student is situated, to exercise such supervision and screening as may be required to ensure protection of the Student from exploitation and to ensure that all communications are entirely legally appropriately conducted.
  5. We may prevent or suspend your access to the Site if you do not comply with any part of the Terms, any terms or policies to which they refer or any applicable law.

4.    Accounts

In order to use the Site, you are required to create an Account which will contain certain personal details. In continuing to use the Site, you warrant that:
a. all information you provide is accurate and truthful
b. you have permission to submit payment information
c. you will keep this information accurate and up-to-date.

5.    Payment Policy and fees

  1. As a Student, you must not only create an Account but also purchase pre-paid Credit before being allowed to use the Services or the Expert Services.
  2. You may cancel your Account at any time after subscribing, however, no refunds for Credit purchased can be provided, regardless of whether on grounds of quality or otherwise.
  3. If you subscribe in error you must inform us within 7 calendar days of subscribing and must not use the Services during that time.
  4. Once an Account has been opened and you, as a Student, have purchased Credit, you may interact with the Expert to agree the scope and timing of the Lesson.
  5. Each Student is charged the Expert Services Fee on a per minute basis based on the Expert’s hourly rate.
  6. On the completion or termination of the Lesson, we, having recorded how much time has been spent on the Lesson, will automatically deduct the Expert Services Fee from the Credit.
  7. As a Student you can end the Lesson or Virtual Session at any given time by disconnecting, but no refund will be payable to the Student for the abandoned Lesson.
  8. We are not responsible for the quality or content of any Lesson or Virtual Session and make no representation or warranty of any kind as to the standard or quality of the Expert Services provided.
  9. Being purely a marketplace for enabling Students and Experts to connect with each other, we will make our best effort to verify the credentials or certifications of any Expert. However, it is ultimately the responsibility of each Student to satisfy him/herself on this point, to avoid engaging with a person purporting to have the required professional qualifications and experience, who does not in fact have them.
  10. We may, at our sole discretion, change some or all of our Services at any time. In the event that we introduce a new service, the fees for that service will be clearly posted and are effective at the launch of the service.
  11. The Site, the Content and all Intellectual Property relating thereto are owned by us, or our licensors or both (as applicable). We (and our licensors, where applicable) reserve all of our (and their) rights in any Intellectual Property in connection with the Terms. This means, for example, that we (and they) remain owners of them and free to use them as we (and they) see fit.
  12. Nothing in the Terms grants you any legal rights in the Site other than as necessary to enable you to access the Site. You agree not to adjust, try to circumvent or delete any notices contained on the Site (including any Intellectual Property notices) and in particular in any digital rights or other security technology embedded or contained within the Site
  13. Trademarks: Nooreed and the Nooreed logo are our trademarks and service marks. We may apply for further trademarks related to Nooreed products and services. All registered marks, all pending applications and all future trademarks remain and shall become the property of Nooreed and you agree not to contest any of the same or to seek to establish any marks confusingly similar to ours. Other trademarks and trade names may also be used on this Site. The use of any trade marks on the Site is strictly prohibited unless you have our prior written permission.
  14. While we try to make sure that the Site is secure, we cannot guarantee the security of any information that you supply to us and therefore we cannot guarantee that it will be kept confidential. For that reason, you should not let us have any patentable ideas or patent applications, advertising or marketing suggestions, prototypes, or any other information that you regard as confidential, commercially sensitive or valuable (Unwanted Submissions). While we value your feedback, you agree not to submit any Unwanted Submissions. You alone accept full responsibility for any use of Unwanted Submissions, by any person(s) other than yourself.
  15. We may use any Unwanted Submissions as we see reasonably fit on a free-of-charge basis (bear in mind that we have no way of knowing whether such information is confidential, commercially sensitive or valuable because we do not monitor the Site to check for these matters). Therefore, we will not be legally responsible for keeping any Unwanted Submissions confidential nor will we be legally responsible to you or anybody else for any use of such Unwanted Submissions
  16. We keep Account information on file. Experts may be given access to a report on Lessons provided and fees earned by them.

  19. Any Content is provided for your general information purposes only and to inform you about us and our products and news, features, services and other websites that may be of interest. It does not constitute technical, financial or legal advice or any other type of advice and should not be relied on for any purposes.

6.    Experts and Payment

The display of any hyperlink and reference to any third party website does not mean that we endorse that third party's website, products or services. Your use of a third party site may be governed by the terms of that third party site.

11. Limitation on our liability

 Except for: fraud or fraudulent misrepresentation; we will only be liable for any loss or damage that is a reasonably foreseeable consequence of a breach of the Terms and, in any event, we shall not be responsible for an amount greater than that paid by you or received by you in relation to your use of the Site. Losses are foreseeable where they could reasonably be contemplated by you and us at the time the Terms are entered into. We are not responsible for indirect losses that happen as a side effect of the main loss or damage and which are not reasonably foreseeable by you and us (such as loss of profits or loss of opportunity).

12. Events beyond our control

We shall have no liability to you for any breach of the Terms caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs or other industrial disputes; breakdown of systems or network access, flood, fire, explosion or accident.

13. Rights of third parties

No one other than a party to the Terms has any right to enforce any of the Terms.

14. Variation

The Terms are dated 3/16/20. No changes to the Terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary the Terms from time to time. Our new terms will be displayed on the Site and, by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check the Terms from time to time to verify such variations.

15. Disputes

The Terms are to be governed by and construed in accordance with the laws of the republic of Lebanon. You and Nooreed shall make genuine efforts to resolve any dispute by negotiation in good faith. If, after sixty (60) days from the commencement of informal negotiation, you and Nooreed were unable to resolve any dispute amicably, then any dispute will be submitted to the competent courts of the republic of Lebanon.

 

NOOREED CONNECT TERMS OF SERVICE FOR PROFESSIONALS & TEACHERS

 

1)   Terms of Service

Nooreed ("Nooreed", "our", "us" or "we") provides an online platform that connects professional and teachers (“Professionals”) with individuals seeking career and educational services and other services related thereto (collectively, the "Services") through our website, accessible at www.nooreed.com (the "Site"). The Services include the ability for Users and Professionals (each as defined below) to interact via the Nooreed platform's interface or other methods as may be made available by Nooreed from time to time.

Please read carefully the following terms and conditions ("Professional Terms of Service"). These Professional Terms of Service govern your access to and use of the Site, Services, and Collective Content (defined below) and constitute a binding legal agreement between you and Nooreed.

2)   Key Service-related Terms

"Content" means text, graphics, images, software, audio, video, information or other materials.

"Collective Content" means, collectively, Nooreed Content and User Content.

"Professional" means a professional or educational services provider accessible via the Services.

"Nooreed Content" means Content that Nooreed makes available through the Site or Services, including any Content licensed from a third party, but excluding User Content.

"Lesson Services" mean any career or educational services a User may receive from a Professional related to a User's Nooreed account or the Services.

"User" means a person who seeks and/or schedules Lesson Services for a student or for his or herself (e.g. a student, parent or guardian).

"User Content" means Content that a Professional or User posts, uploads, publishes, submits or transmits to be made available through the Site or Services in connection with the Lesson Services or otherwise, including, but not limited to, Questions and related answers posted by Users and Professionals via the Services.

As a Professional, your use of the Services is governed by the policies, terms and conditions herein. The site and services comprise an online platform which facilitates the connection between users and Professionals featured on the site and via the services. You understand and agree that Nooreed is not a party to any agreements entered into between users and Professionals. As more fully detailed below and to the fullest permitted by applicable law, Nooreed disclaims all liability related to the lesson services or the conduct of users, Professionals or other users of the site or services. Accordingly, any meetings (virtual or otherwise) between users, Professionals or any other third parties and any purchases of lesson services provided by Professionals are done at the parties' sole risk.

You acknowledge and agree that, by accessing or using the site or services, or your Nooreed account, or by posting any content on the site or through the services in connection with your lesson services or otherwise, you are indicating that you have read, and that you understand and agree to be bound by, these Professional terms of service, whether or not you have registered via the site. If you do not agree to these Professional terms of service, then you have no right to access or use the site, services or collective content. If you accept or agree to these Professional Terms of Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Professional Terms of Service and, in such event, "you" and "your" will refer and apply to that company or other legal entity.

3)   How the Site and Services Work

Nooreed Connect is an online community that links students to professionals and instructors who can help with many topics. Students can search by subject, find the appropriate professionals, review their background information, and schedule an online session with one of them. During the session, students can use audio/video chat, file sharing, and online collaboration tools to get a great learning experience.

Nooreed's role is solely to facilitate the availability of the Site and Services. Nooreed is not a contracting agent or representative of any Professional or User. Professionals are independent contractors and are not employees or agents of Nooreed.

You are an independent contractor and nothing in this Professional Terms of Service will be construed as establishing an employment or agency relationship between you and Nooreed. You have no authority to bind Nooreed by contract or otherwise. You will determine, in your sole discretion, the manner and means by which you provide Lesson Services in connection with this Professional Terms of Service or as related to the Services or Site, subject to the requirement that you will at all times comply with applicable law.

4)   Eligibility; Account Registration and Usage

To become a Professional, provide Lesson Services, and to be eligible to receive payment for the Lesson Services you provide, you must register and create an "Account," be 18 or older and pass all vetting, verification and background check protocols instituted by Nooreed from time to time, which may include, without limitation, undergoing subject matter tests, interviews, and submitting application materials. You understand that Nooreed may use third party sources, data, and companies to assist Nooreed in Professional vetting, verification and background check processes. By registering as a Professional, you represent and warrant you are 18 or older.

You can register to join the Service as a Professional by establishing a username (email address) and password with the Service (and providing a resume, copies of your degrees, a picture and a government issued identification).

When you register with Nooreed and set up your Account, you: (i) agree to provide Nooreed with accurate and complete information; (ii) agree to promptly update your Account information with any new information that may affect the operation of your Account; and (iii) authorize Nooreed, directly or through third parties, to make any inquiries we consider necessary or appropriate to verify your Account information or the information you provide to us related to any activity you initiate via the Site and Services. You will not use false identities or degrees or impersonate any other person or use a username or password that you are not authorized to use. 

You are responsible for safeguarding and maintaining the confidentiality of your username, password and corresponding Account information. You agree not to disclose your password to any third party. You will immediately notify Nooreed of any unauthorized use of your username, password or Account. You agree that you will not permit, enable, introduce or facilitate (i) persons who do not have an Account to have access to the features of the Site and Services only made available to registered Professionals and (ii) other persons to participate in providing Lesson Services from your Account.

5)   Representations and Warranties

If you register via the Site and Services to serve as a Professional, you represent and warrant to Nooreed that you (i) have requisite knowledge in the subjects you select via the Services to provide Lesson Services in such subjects to Users; (ii) will utilize the Services solely to provide Lesson Services only; (iii) you are or were a student at the academic institution you listed as your school at the time of registration to use the Site and Services and (iv) will not provide Lesson Services to persons younger than 13. You understand and agree that Users will contact you via the Site and Services and request that you provide Lesson Services. You have no obligation to provide any Lesson Services, and any Lesson Services you may choose to provide are in your sole discretion.

6)   Interactions with Users

As a Professional, you acknowledge and agree to the following:

  1. You are solely responsible for your interactions with Users. You understand that Nooreed does not in any way screen Users. You are solely responsible for, and will exercise caution, discretion, common sense, and judgment in using the Site, the Service and providing Lesson Services and disclosing personal information to Users. You agree to take reasonable precautions in all interactions with Users.
  2. Nooreed reserves the right to contact Professionals and Users in order to evaluate compliance with the rules and policies set forth in these Professional Terms of Service and any other policies applicable to use of the Service. If you ever believe that a User or another Professional has violated the law or is defrauding, threatening or endangering anyone, we urge you to immediately report such violation to Nooreed.
  3. You will not share personal contact information with Users or via the Site.
  4. You will not use the Site or Services or provide Lesson Services in any manner that harasses a User or another Professional or could interfere with any other party's use or enjoyment of the Site, Services or Lesson Services. You will respect the privacy of others and not use the Site, Services or Lesson Services for unwelcome, rude or abusive communications or in any other manner as determined by Nooreed in its sole discretion.
  5. You may not use the Site or Services to contact a User to meet in person. You may not provide Lesson Services to a User outside of the Site or Services.

7)   Payments

If you register to use the Site and Services as a Professional and provide Lesson Services via the Site and Services, you will be entitled to receive a payment from Nooreed for the provision of Lesson Services. Nooreed will pay Professionals per hour of Lesson Services provided, at the rates specified online at the time Users sign up for lessons. Payments will be prorated for partial hours of Lesson Services provided.

Payments will be made once per month if the total amount due is at least $50 or 100,000 LBP.

20% service fee is deducted by Nooreed from the total charges for lessons.

7.5 % as non-resident withholding tax will be deducted for Professionals who are not registered with the Lebanese Ministry of Finance (MoF).

Example:

  • Professional conducts three one-hour sessions for $25 each for a total of $75
  • Nooreed will deduct $15 (or 20%) as a service fee to cover credit card transaction fees and other costs. The remaining balance $60 is due to the Professional.
  • If the Professional is not registered with the MoF, Nooreed will deduct $4.5 (or 7.5%) for taxes to be paid by Nooreed to MoF.
  • Professional will receive a final payment $55.5.
  • Depending on the form of payment, your bank or money transfer companies may deduct a fee for processing.

You acknowledge and agree that Nooreed reserves the right, in its sole discretion, to prospectively modify its payment rates at any time. If we modify the payment rates, we will post the modified rates on the Site with thirty (30) days advance notice of the modification effective date or otherwise provide you with notice of the modification. By continuing to provide Lesson Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Professional Payment rates. If the modified payment rates are not acceptable to you, your only recourse is to cease providing educational services via the Site and Services.

Please note that if a Professional Payment sent by Nooreed to you in accordance with these Professional Terms of Service is later invalidated or reversed for any reason (e.g. a User requests a refund), you will be liable to Nooreed for the full amount of such Professional Payment that Nooreed sent to you and any fees related thereto. This means that you will be responsible for reimbursing Nooreed in the event of a chargeback, reversal of payment or other claim by a User in this regard. We may void or withhold payments for: (1) breach of these Professional Terms of Service, (2) suspected fraudulent activity (including, without limitation, purporting to complete more Services minutes than is possible within a given period of time (3) if the User requests a refund or submits a chargeback request.

8)   Taxes and VAT

You understand and agree that you are solely responsible for your own income tax reporting and payment. You will report to the relevant tax authorities as income all compensation (including Professional payments) received by you for services performed in connection with this Professional Terms of Service (including Lesson Services), the Services, or the Site. We cannot and do not offer tax advice to any Professionals on the Site and Services. Moreover, you shall notify Nooreed if you are, or whenever you become, subject to VAT invoicing/payment.

9)   No Endorsement

Nooreed does not endorse any User and you are responsible for determining and confirming the identity and suitability of the Users interacted with as a result of your use, or use by any third party, of the Site and Services. We are not your agent or the agent of any User. To the fullest extent permitted by applicable law, you agree that we will not be responsible for any damage or harm resulting from your interactions, or those of anyone else, with Professionals or Users. By using the Site or Services, you, and any third party that may use the Site and Services under your Account, agree to the fullest extent permitted by applicable law, that (i) any legal remedy or liability that you or such third party seek to obtain for actions or omissions of Professionals, Users, or other third parties will be limited to a claim against the particular Professional, User or the third parties who caused you, or such third party, harm; and (ii) you will not to attempt to impose liability on, or seek any legal remedy from Nooreed with respect to such actions or omissions.

10)   Ownership

The Site, Services and Nooreed Content are protected by copyright, trademark, and other applicable laws. You acknowledge and agree that the Site, Services and Nooreed Content, including all associated intellectual property rights, are the exclusive property of Nooreed. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Services or Nooreed Content.

11)   Nooreed Licenses

You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Site, Services or Collective Content, except as expressly permitted in these Professional Terms of Service. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Nooreed or its licensors, except for the licenses and rights expressly granted in these Professional Terms of Service.

12)   License granted by Professional

We may, in our sole discretion, permit users of the Services to post, upload, publish, submit or transmit Content. By making available any Content on or through the Site or Services, you hereby grant the following license to Nooreed, which Nooreed may exercise solely in connection with the Services, including promotion of the Services, directly or directly by intermediaries: a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense to other users of the Services (including Users and other Professionals, as applicable), to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast and otherwise exploit such Content. Nooreed does not claim any ownership rights in any Content provided by users of the Services or Site and nothing in these Professional Terms of Service will be deemed to restrict any rights that you may have to use and exploit any of your Content.

Nooreed may record live lessons that you provide to students in connection with your provision of Lesson Services. You hereby grant to Nooreed an irrevocable, worldwide, royalty-free, exclusive license to use any such recorded live lessons for all business purposes, including for marketing purposes, and you hereby grant Nooreed permission to use your voice, image, name, and likeness to the extent that the same are encompassed or embodied within such recorded live lessons.

You acknowledge and agree that you are solely responsible for all Content that you make available through the Site or Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Content that you make available through the Site or Services or you have all rights, licenses, consents and releases that are necessary to grant to Nooreed the rights in and to such Content, as contemplated under these Professional Terms of Service; and (ii) the Content, your posting, uploading, publication, submission or transmittal of it, or Nooreed's use of the Content (or any portion thereof) on, through or by means of the Site or Services will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

13)   Third Party Services

You understand and agree that provision of Lesson Services may require use of a third-party website or service (each a "Third Party Service"). Your use of any Third-Party Service is voluntary. You shall be solely responsible for acquiring and maintaining all telecommunications and Internet services and other hardware and software you may decide to use to provide the Lesson Services, including, without limitation, any and all costs, fees, expenses, and taxes of any kind related to use of any Third Party Service. Nooreed shall not be responsible for any loss or corruption of data, lost communications, or any other loss or damage of any kind arising from any such Third-Party Service.

14)   Copyright Policy

Nooreed respects copyright law and expects its users to do the same. It is our policy to terminate in appropriate circumstances Professionals, registered users, or other Account holders who infringe or are believed to be infringing the rights of copyright holders.

15)   Feedback

If you decide to provide feedback, comments, or suggestions for improvements to the Site or Services ("Feedback"), you may do so by emailing us. You acknowledge and agree that if you submit any Feedback to us, you hereby grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.

16)   General Prohibitions & Requirements

You agree not to do any of the following:

Post, upload, publish, submit, or transmit any Content that: (i) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances.

You also agree not to:

  1. Conduct yourself in an unprofessional manner, including, without limitation, using profanity or other objectionable language with users.
  2. Helping or encouraging a student to cheat, completing graded assignments for a student, etc. Engage in conduct that could artificially impact your reviews on the Site or Service, including, without limitation, unnecessarily splitting Professional lessons/sessions to get multiple reviews for what should have been a single lesson/session, incentivizing users to provide positive reviews, intimidating users associated with their review, etc.
  1. Engage in any form of plagiarism.
  2. Engage in any conduct with the intent or result to trick the Service or Site to garner additional payments.
  3. Ask any User or receive from any User any kind of payment, commission, service or remuneration of any kind.
  4. Engage in any fraudulent activity in connection with the Service or Site, including, without limitation, accepting payment for lessons/sessions that did not occur, allowing multiple lessons/sessions to occur simultaneously, etc.
  5. Share Accounts or accounts with Third-Party payment services with anyone.
  6. Attempt to become a Professional on the Service after being deactivated or terminated.
  7. Use, display, mirror or frame the Site, or any individual element within the Site or Services, Nooreed's name, any Nooreed trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Nooreed's express written consent.
  8. Access, tamper with, or use non-public areas of the Site, Nooreed's computer systems, or the technical delivery systems of Nooreed's providers;
  9. Attempt to probe, scan, or test the vulnerability of any Nooreed system or network or breach any security or authentication measures; Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Nooreed or any of Nooreed's providers or any other third party (including another user) to protect the Site, Services or Collective Content;
  10. Attempt to access or search the Site, Services or Collective Content or download Collective Content from the Site or Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Nooreed or other generally available third party web browsers;
  11. Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
  12. Use any meta tags or other hidden text or metadata utilizing a Nooreed trademark, logo URL or product name without Nooreed's express written consent;
  13. Use the Site, Services or Collective Content for any commercial purpose or the benefit of any third party or in any manner not permitted by these Professional Terms of Service or any other policies applicable to use of the Site, Services or Collective Content;
  14. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site, Services or Collective Content to send altered, deceptive or false source-identifying information;
  15. Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site, Services or Collective Content;
  16. Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site or Services;
  17. Collect or store any personally identifiable information from the Site or Services from other users of the Site or Services without their express permission;
  18. Impersonate or misrepresent your affiliation with any person or entity;
  19. Provide to Nooreed or use as your profile image any fake image or images of celebrities, cartoons, or avatars;
  20. Violate any applicable law or regulation; or
  21. Encourage or enable any other individual to do any of the foregoing.

In addition to the above, you agree that you:

  1. will comply with all applicable national and foreign laws, treatises and regulations in connection with your provision of Lesson Services.
  2. are solely responsible for the content of the communications, assistance and direction that you provide as part of the Lesson Services.
  3. are solely responsible for all equipment necessary to access and use the Site and Services and to provide Lesson Services. If we determine that there have been, or receive reports of, repeated technical issues with your provision of services, we may suspend or terminate your Account.
  4. will not record or otherwise store, use or disseminate any Lesson Service sessions or Content or any other kind of communication or interaction with Users that you access or provide through the Site or Services.

Nooreed will have the right to investigate and prosecute violations of any of the above to the fullest extent permitted by applicable law. Nooreed may involve and cooperate with law enforcement authorities or third parties in investigating and prosecuting users who violate these Professional Terms of Service or any other policies applicable to use of the Services. Nooreed acts as a technology service that facilitates the provision of Lesson Services between Professionals and Users. You acknowledge that Nooreed has no obligation to monitor your access to or use of the Site, Services or Collective Content or to review or edit any Collective Content, but has the right to do so for the purpose of operating the Site and Services, to ensure your compliance with these Professional Terms of Service or any other policies applicable to use of the Services, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. Nooreed reserves the right, at any time and without prior notice, to (i) remove content from the Service at any time for violations of these Professional Terms of Service or other policies applicable to use of the Service; (ii) give a Professional the opportunity to amend content it believes to be in violation of these Professional Terms of Service or other policies applicable to use of the Service; and (iii) take appropriate action against a Professional. Nonetheless, you agree that, to the fullest extent permitted by applicable law, Nooreed is not responsible for any User Content or any Professional's failure to comply with these Professional Terms of Service or other policies applicable to use of the Service. Without limiting the terms of the "Limitation of Liability" section below and to the fullest extent permitted by applicable law, Nooreed is not responsible for the use or exchange of any information, files or goods between Professionals and Users.

The Site or Services may contain links to third-party websites or resources. You acknowledge and agree that Nooreed is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Nooreed of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the Content, products, or services on or available from such websites or resources.

18)        Modification

Nooreed reserves the right, at its sole discretion, to modify, discontinue or terminate the Site or Services or to modify these Professional Terms of Service. If we modify these Professional Terms of Service, we will post the modification on the Site or provide you with other notice of the modification. By continuing to access or use the Site or Services or taking other requested action after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Professional Terms of Service. If the modified Professional Terms of Service are not acceptable to you, your only recourse is to cease using the Site and Services.

19)        Termination and Account Cancellation

Nooreed reserves the right to suspend, disable, or terminate your Account and revoke your access to and use of the Site, Services and Collective Content at any time, with or without cause, including, without limitation, if you breach these Professional Terms of Service. In the event Nooreed terminates your Account due to your breach of these Professional Terms or Service or violation of any law, you will remain liable for all amounts due hereunder. You may cancel your Account at any time by sending an email us.

If your account is suspended and you apply to be reinstituted as a Professional on the Service, Nooreed is under no obligation to honor such request but may do so in its sole discretion and in accordance with all Nooreed policies, procedures, or requirements for reinstitution applicable at that time.

20)        Disclaimers

The site and services are provided "as is," "where is," "as available," "with all faults" and, to the fullest extent permitted by law, without warranty of any kind. Nooreed disclaims all warranties with respect to the site and services, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement and title, and any warranties regarding quiet enjoyment, quality of information, security, reliability, timeliness, availability of backed-up data and performance of the site and services. Nooreed does not warrant that the site or the services will meet your requirements, or that the operation of the site and services will be uninterrupted or error-free, or that defects in the site and services will be corrected, or that encryption algorithms, associated keys and other security measures will be secure or effective. Nooreed does not warrant that provision of lesson services will produce any level of profit or business for you or lead to economic benefit.

You acknowledge and agree that Nooreed does not operate or control the internet and that (i) viruses, worms, trojan horses, and other undesirable data, or software, or (ii) unauthorized users (e.g., hackers) may attempt to obtain access to and damage your data, websites, computers, or networks. Nooreed shall not be responsible for such activities. You are solely responsible for the security and integrity of your data and systems. No advice or information, whether oral or written, obtained from Nooreed or through the site, services or collective content, will create any warranty not expressly made herein.

You are solely responsible for all of your communications and interactions with Professionals and other users of the site and services and with other persons with whom you communicate or interact as a result of your use of the site or services, including, without limitation, any interaction with Professionals or users via the services or otherwise. You understand that Nooreed makes no representations or warranties as to the conduct of Professionals, users or other users of the site or services or their compatibility with any current or future users or users of the site or services. You agree to take reasonable precautions in all communications and interactions with other users of the site and services and with other persons with whom you communicate or interact as a result of your use of the site or services.

21)        Indemnity

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold Nooreed, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the site, services or collective content, your provision of any lesson services, or your violation of these Professional terms of service or any other policies applicable to use of the services.

22)        Limitation of liability

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the site, services and collective content remains with you. To the maximum extent permitted by law, neither Nooreed nor any other person or entity involved in creating, producing, or delivering the site, services or collective content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Professional terms of service or from the use of or inability to use the site, services or collective content, or from any communications, interactions or meetings with Professionals, users or other users of the site or services or other persons with whom you communicate or interact as a result of your use of the site or services whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Nooreed has been informed of the possibility of such damage.

23)        Proprietary Rights Notices

All trademarks, service marks, logos, trade names and any other proprietary designations of Nooreed used herein are trademarks or registered trademarks of Nooreed. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties.

24)        Entire Agreement

These Professional Terms of Service constitute the entire and exclusive understanding and agreement between Nooreed and you regarding the Site, Services and Collective Content, and these Professional Terms of Service supersede and replace any and all prior oral or written understandings or agreements between Nooreed and you regarding the Site, Services and Collective Content.

25)        Assignment

You may not assign or transfer these Professional Terms of Service, by operation of law or otherwise, without Nooreed's prior written consent. Any attempt by you to assign or transfer these Professional Terms of Service, without such consent, will be null and of no effect. Nooreed may assign or transfer these Professional Terms of Service, at its sole discretion, without restriction. Subject to the foregoing, these Professional Terms of Service will bind and inure to the benefit of the parties, their successors and permitted assigns.

26)        Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Professional Terms of Service, will be in writing and given: (i) by Nooreed via email (in each case to the email address that you provide); or (ii) by posting to the Site.

27)        Laws and Legal Disputes

You and Nooreed agree that these Professional Terms of Service shall be governed by and construed in accordance with the laws of the republic of Lebanon. You and Nooreed shall make genuine efforts to resolve any dispute by negotiation in good faith. If, after sixty (60) days from the commencement of informal negotiation, you and Nooreed were unable to resolve any dispute amicably, then any dispute, claim or controversy between you and Nooreed, or otherwise arising out of or relating to these Professional Terms of Service or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site or Services will be submitted to the competent courts of the republic of Lebanon.

28)        General

The failure of Nooreed to enforce any right or provision of these Professional Terms of Service will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Nooreed. Except as expressly set forth in these Professional Terms of Service, the exercise by either party of any of its remedies under these Professional Terms of Service will be without prejudice to its other remedies under these Professional Terms of Service or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Professional Terms of Service invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Professional Terms of Service will remain in full force and effect.
